Wimzy Walls Designer Program Terms and Conditions

1. Submission of Designs:

• By submitting your original wallpaper designs to Wimzy Walls, you agree to grant us non-exclusive rights to reproduce, distribute, and sell your designs on our website.
• Designs must be your original work and must not infringe upon the intellectual property rights of any third party.

2. Approval Process:

• All submitted designs will undergo a review process by the Wimzy Walls team.
• We reserve the right to accept or reject any design submission at our discretion.

3. Designer Commission Rate and Calculation:

• The designer shall receive a 10% commission based on net sales. Net sales are defined as the total revenue generated from the designer's products, minus any applicable discounts, returns, refunds, taxes, and shipping costs. The commission will apply only to completed sales after the buyer’s right of return has expired. In the case of product discounts, the designer’s commission will not fall below what they would earn on a 50% discounted sale, ensuring a minimum commission threshold.

4. Payment:

• Commission will be paid on a bi-weekly basis through our portal where Artists can track sales and commission.
• Artists are responsible for providing accurate payment information to receive commissions.

5. Rights and Ownership:

• Artists retain ownership of their designs and may continue to sell them through other channels.
• Wimzy Walls may use artists' names and images of their designs for promotional purposes.

6. Termination:

• Either party may terminate the agreement at any time by providing written notice to the other party.
• Upon termination, all rights granted to Wimzy Walls with respect to the artist's designs will cease.

7. Indemnification:

• Artists agree to indemnify and hold harmless Wimzy Walls from any claims, damages, or liabilities arising from the submission or sale of their designs.

8. Governing Law:

• This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflicts of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Missouri, unless otherwise mutually agreed upon by both parties.

9. Changes to Terms:

• Wimzy Walls reserves the right to modify these terms and conditions at any time. Any changes will be communicated to artists via email.

10. Acceptance:

• By submitting your designs to Wimzy Walls, you acknowledge that you have read and agree to these terms and conditions.
